We have multiple users who want to see the same Master Catagory's List. I
understand I have to export the registry entry to a file and double-click on
it to import to the other PC's. The issue is the diffetent versions of
Outlook.

One user has Outlook 2003 and the other two have Outlook 2000. The Master
List is on one of the 2000 PC's.

My question is as follows. If I upgrade the two Outlook 2000 PC's to 2003,
export the registry setting (Master Catagory's List) and double-click on the
reg key to import the settings to the other two PC's, will the pathe for the
Master Catagory's List be correct on all the PC's?

yes.

http://www.outlook-tips.net/howto/categories.htm will allow you to keep
mixed versions of outlook and not overwrite custom categories anyone may
have added. (See the tip to Copy the categories and paste into a message
then send it to the other users to enter in their master list.)
