In My Contacts I show one Contacts Folder, however when I go to mail and
click on the address book Icon, there are two Contacts listed.  The first one
is empty and the second one contains my contacts.  How can I delete the empty
Contacts folder.

Remove it here:
Tools > E-mail accounts > View or change existing directories or address
books > Outlook Address Book > Change.

I have only one contact folder under outlook adress book (tools/address
book/change), but when I hit the "TO"  button I get an error message saying
"the contacts folder for this address book cannot be opened".   If I hit OK
on that I get a choice of two outlook address books, both called contacts and
the second has all my contacts.

For Outlook 2002/2003, click Tools>E-mail Accounts>View or chage existing
directories or address books>Next.  Select Outlook Address Book adn click
Change.  Remove the invalid contacts reference there.
